What is a Statement of Work (SOW)?

A Statement of Work (SOW) is a detailed document defining specific deliverables, timelines, and acceptance criteria for a project. It's typically attached to a Master Service Agreement (MSA) — the MSA defines the relationship; the SOW defines each individual project.

A Statement of Work (SOW) is the project-specific 'execution document' that defines exactly what will be delivered, when, and at what price. It's used alongside a Master Service Agreement (MSA) in ongoing client relationships.

MSA vs SOW:

  • MSA (Master Service Agreement) — defines the overall relationship: payment terms, IP ownership, confidentiality, liability, dispute resolution. Signed once, valid for years.
  • SOW (Statement of Work) — defines each individual project: scope, deliverables, timeline, milestones, price. Signed for each new project.

This structure is standard in agencies, consulting, and B2B services. New project = new SOW, but the existing MSA still governs.

Anatomy of a strong SOW:

1. Project Overview — high-level description and goals. 2. Scope of Work — specific deliverables (e.g., '5-page Webflow site,' 'iOS + Android mobile app,' '12-page brand identity package'). 3. Out of Scope — explicitly list what's NOT included (prevents 'just one more thing' requests). 4. Timeline & Milestones — start date, milestone dates, final delivery. 5. Acceptance Criteria — how will completion be measured? ('Client has 7 days to request revisions; otherwise deemed accepted.') 6. Pricing & Payment Schedule — total fee, payment milestones. 7. Roles & Responsibilities — who provides what (client provides assets, contractor provides design). 8. Assumptions & Dependencies — what needs to be true for the project to succeed. 9. Change Order Process — how scope changes are handled.

Why SOWs prevent disputes: 80% of freelance/agency disputes come from unclear scope. A detailed SOW with explicit deliverables and 'out of scope' items eliminates most arguments before they start.

For solo freelancers: a single document combining MSA + SOW is fine. Use iContract's freelance contract generator — it includes both elements.

For agencies and consultants: separate MSA + SOW is industry best practice. Use iContract's MSA + Statement of Work Template Pack.
