Construction Subs = Highest Liability Risk

Subcontractor agreements involve worker safety, lien rights, payment cascades, and indemnification — getting any clause wrong can cost millions. State anti-indemnity laws also restrict what GCs can require from subs.

Critical Subcontractor Agreement Clauses

Pay-When-Paid vs Pay-If-Paid

Pay-when-paid = GC pays sub within reasonable time after receiving owner payment (timing condition). Pay-if-paid = sub paid only if GC paid by owner (condition precedent — risk shifts to sub). Many states (CA, NY, NC) restrict pay-if-paid clauses.

Anti-Indemnity Laws

Most states restrict GC from requiring sub to indemnify GC for GC's own negligence. Check your state — California, New York, Texas, and others have specific limits. Including unenforceable indemnity language can void the entire clause.

FAQ

Can I require my sub to be a 1099 independent contractor?

Only if they meet IRS and state independent contractor tests. Misclassification exposes you to back taxes, penalties, and unemployment claims. Subs with own employees, equipment, and other clients qualify; lone workers under your direction usually don't.

Should I require lien waivers from subs?

Always. Get a conditional partial lien waiver with each progress payment, and unconditional final waiver upon final payment. Otherwise subs can lien the property even if you've paid them.

What insurance should I require from subs?

Minimum: $1M general liability, workers' comp per state law, $1M auto if they drive on-site. Add umbrella for bigger projects. Require additional insured status and waiver of subrogation.
