FAQ
Is a mutual NDA better than a one-way NDA?
Use this one-way NDA when one side is principally disclosing confidential information. If both parties expect to exchange sensitive information, use the separate Mutual NDA template.
How long should an NDA last?
The appropriate period depends on the information and applicable law. iContract asks for the agreement term and confidentiality survival period separately, while trade-secret protection is handled according to applicable law.
Is this NDA enforceable internationally?
Whether an NDA is enforceable across borders depends on the agreement, governing law, local law, required formalities, and the available enforcement mechanisms. Specify the governing jurisdiction and consider local counsel for important cross-border matters.
