FAQ
What interest rate should I charge?
For loans over $10,000, the IRS requires at least the Applicable Federal Rate (AFR), published monthly at irs.gov. Below that rate, the foregone interest is treated as a gift (and may have gift tax consequences). For arm's-length business loans, market rates apply — check your state's usury cap before going above ~10%.
Do I need to notarize the note?
Notarization is not required for the note to be enforceable, but it strengthens proof of execution. If the note is secured by real estate, the security instrument (mortgage or deed of trust) typically must be notarized and recorded.
What's the difference between a loan agreement and a promissory note?
A promissory note is the borrower's one-sided promise to pay. A loan agreement is a longer contract with representations, covenants, conditions, and remedies for both parties. For simple loans, a note alone is fine; for complex business loans, use both.
